1. Introduction

Welcome to IncZone (“IncZone”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of IncZone’s website, platform, business formation services, compliance services, document tools, registered agent support, EIN and ITIN assistance, and any related applications or features (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

2. Definitions

“Account” means the account you create to access IncZone Services.

“Order” means your request for a filing, document, business service, compliance service, subscription, or other service through IncZone.

“User Content” means information, documents, files, business details, addresses, ownership information, tax details, or other content you submit through the Services.

“Filing Services” means business formation, amendment, dissolution, annual report, DBA, foreign qualification, EIN, ITIN, tax exemption, or similar filing-related services.

“Document Services” means generated documents, templates, operating agreements, resolutions, forms, or other business documents made available through IncZone.

3. Eligibility and Account

3.1 Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent that you are at least 18 years old and have the legal authority to enter into these Terms.

3.2 Registration and Accuracy

You may be required to create an Account to access certain Services. You agree to provide accurate, current, and complete information and to keep your information updated.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. You agree to notify us promptly if you suspect unauthorized access.

4. Use of the Services

5. Business Filing and Document Services

5.1 No Legal, Tax, or Financial Advice

IncZone is not a law firm, accounting firm, tax advisor, or financial advisor. The Services are provided for business support and administrative assistance only. Nothing on the platform constitutes legal, tax, accounting, financial, or investment advice.

You should consult a qualified attorney, accountant, tax professional, or financial advisor for advice specific to your circumstances.

5.2 User Responsibility for Information

You are solely responsible for the accuracy, completeness, and legality of all information you provide. IncZone is not responsible for delays, rejections, penalties, losses, or errors caused by incorrect, incomplete, outdated, or misleading information submitted by you.

5.3 Government Processing

Government filing times, approvals, rejections, fees, and requirements are controlled by the relevant government agencies. IncZone does not guarantee approval, processing times, acceptance, or outcomes from any government agency.

5.4 Document Generation

Documents generated through IncZone, including operating agreements and business templates, are provided as general business document tools. You are responsible for reviewing any document before use and ensuring it meets your needs and complies with applicable law.

6. Fees, Payments, and Refunds

6.1 Fees

By placing an Order, you agree to pay all applicable IncZone service fees, government filing fees, third-party fees, taxes, and other charges shown during checkout or otherwise disclosed to you.

6.2 Government and Third-Party Fees

Government filing fees and third-party fees are generally non-refundable once paid or submitted. These fees may change at any time based on agency or provider requirements.

6.3 Payment Authorization

By submitting payment information, you authorize IncZone and its payment processors to charge your selected payment method for your Order and any applicable fees.

6.4 Refunds

IncZone service fees may be refundable only as expressly stated in a specific service policy or as required by law. Once work has begun, documents have been generated, filings have been prepared, or submissions have been made to a government agency or third party, fees may become non-refundable.

6.5 Failed Payments

If a payment fails, we may suspend, delay, or cancel your Order or access to the Services until payment is successfully processed.

6.6 Chargebacks and Payment Disputes

If you believe a charge is incorrect, you agree to contact IncZone first so we can review the issue. Initiating a chargeback without contacting us may result in suspension or termination of your Account or Services.

7. User Content and Data

7.1 User Content

You are solely responsible for all User Content you provide. You represent that you have the right to submit such information and that it does not violate any law or third-party rights.

7.2 License to Use User Content

You grant IncZone a limited, non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, transmit, and use User Content solely as necessary to provide, operate, improve, and support the Services.

7.3 Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Services, you acknowledge that your information will be handled in accordance with our Privacy Policy.

8. Intellectual Property

8.1 Ownership

The Services, website, software, content, designs, branding, text, images, workflows, templates, and platform features are owned by IncZone or its licensors and are protected by intellectual property laws.

8.2 Limited License

Subject to these Terms, IncZone grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

9. Service Changes and Availability

We may update, modify, suspend, or discontinue any part of the Services at any time. We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

10. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, IncZone disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability.

IncZone does not guarantee any legal, tax, financial, business, regulatory, or government outcome.

11. Limitation of Liability

To the fullest extent permitted by law, IncZone will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, penalties, or missed deadlines arising out of or related to your use of the Services.

To the fullest extent permitted by law, IncZone’s total liability for all claims related to the Services will not exceed the amount you paid to IncZone for the specific Service giving rise to the claim.

12. Termination and Suspension

We may suspend or terminate your Account or access to the Services if you violate these Terms, submit false or unlawful information, fail to pay required fees, create security risks, misuse the Services, or if required by law.

You may stop using the Services at any time.

13. Indemnity

You agree to indemnify, defend, and hold harmless IncZone, its owners, directors, officers, employees, contractors, affiliates, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or related to:

• Your use of the Services.
• Your User Content or submitted information.
• Your violation of these Terms.
• Your violation of applicable law or third-party rights.
• Any filing, document, or business action based on information you provided.

14. Third-Party Services

IncZone may use or link to third-party services, including payment processors, government websites, banking partners, registered agent providers, mail providers, tax platforms, or other business service providers. We are not responsible for third-party services, policies, delays, errors, or actions.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the website, platform, or email. Your continued use of the Services after changes become effective means you accept the updated Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the jurisdiction where IncZone operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts with proper jurisdiction over IncZone, unless otherwise required by applicable law.
